Southern Union Energy Shareholders Approve Merger with Transfer Equity

Southern Union (NYSE:SUG) announced that its shareholders overwhelmingly approved, at a special meeting held this morning, the proposed merger with Energy Transfer Equity (NYSE:ETE). Approval of the merger proposal required the affirmative vote of the majority of the shareholders entitled to vote. Approximately 80% of the outstanding shares of Southern Union common stock as of the record date were voted at the special meeting. Of the shares that were voted, approximately 98% voted in favor of the merger. Pending receipt of all required regulatory approvals and satisfaction of other closing conditions, the merger is expected to close in the first quarter of 2012. Southern Union (NYSE:SUG) has potential upside of 2.1% based on a current price of $42.1 and an average consensus analyst price target of $43.

Williams Companies Rejects Energy Transfer Equity's Buyout; Shares Jump Double-Digits

Shares of oil pipeline operator Williams Companies (WMB) soared 26 percent on Monday, after announcing on Sunday that's its exploring strategic options. The stock is TheStreet's Move of the Day. That announcement came on the heels of the company rejecting a takeover bid from Energy Transfer Equity (ETE) of $64 per share, which is a 32 percent premium to Williams closing price on Friday. Williams said the offer is not in line with the growth Williams is forecasting. In its release, the company did not specifically reference Energy Transfer Equity. Energy Transfer Equity confirmed its offer for Williams Companies on Monday and said the company had reached out on several occasions over the past six months regarding a merger. But Williams remained silent on the offers, until its public statement on Sunday. Kelcy Warren, ETE's Chairman said in a statement: 'I believe that a combination of Williams' assets with ETE will create substantial value that would not be realized otherwise. Therefore, I am a strong proponent of this transformative combination and support the issuance of a significant amount of ETE securities to complete the transaction.' Energy Transfer Equity Rebuffed in $53.1 Billion Bid for Williams Cos.

Williams Cos. (WMB) has rejected a bid from Energy Transfer Equity LP (ETE) that would have been worth $53.1 billion including the assumption of debt. Energy Transfer offered $64 per share, or $48 billion, in a deal structured to offer a 32.4% premium over the oil and gas pipeline operator's Friday closing price. Williams responded by trumpeting its value as a standalone company and the growth prospects from its $13.8 billion acquisition of Williams Partners LP, which is still underway, but would have been cancelled under Energy Transfer's deal. Williams has hired advisers to run a strategic review. Energy Transfer Equity said the offer, which has been in the works for six months, was made on May 19 to Armstrong and on June 11 and 18 to the company's board after Williams' announcement that it was buying Williams Partners. Pipeline Operator Williams Cos. is Sold to Energy Transfer Equity

Energy Transfer Equity LP (ETE) is buying pipeline operator Williams Companies Inc. (WMB) in a transaction valued at about $37.7 billion, including the assumption of debt and other liabilities. The deal will create the third largest energy franchise in North America and one of the five largest global energy companies. In June, Williams rejected an unsolicited buyout offer from Energy Transfer for $64 per share, or $48 billion. Under the terms of the transaction announced Monday, Energy Transfer Corp LP, an affiliate of Energy Transfer Equity, will purchase Williams at an implied current price of $43.50 per Williams share. The deal comes at the same exchange ratio as initially offered of 1.8716 per share but now Williams shareholders can receive either stock or cash or a combination up to $6.05 billion in cash, or 20% of the total consideration. Williams shareholders will also be entitled to a special one-time dividend of 10 cents per share right before the deal closes on top of the regular dividend. If Williams shareholders choose to receive all cash or all ETC shares, then each share would receive $8 in cash and 1.5274 ETC shares as a result of proration. Energy Transfer Equity, Southern Union Announce Amended Merger Agreement

Energy Transfer Equity (NYSE:ETE) and Southern Union (NYSE:SUG) announced that both have entered into an amended restarted merger agreement under which Energy Transfer Equity will acquire Southern Union for $9.4 billion, including $5.7 billion in cash and Energy Transfer Equity common units. Under the terms of the revised agreement, which has been unanimously approved by the board of directors of both companies, Southern Union shareholders can elect to exchange their common share for $44.25 of cash or one Energy Transfer common unit. Shares of Southern Union are trading up over 2% to $44.23 on the news.

Energy Transfer Partners (NYSE:ETP) announced it will acquire Sunoco (NYSE:SUN) in a cash and stock deal valued at $5.3 billion. The $50.13 per share price tag represents a 22.5% premium over the company's Friday close of $40.91. The company expects the acquisition to be immediately accretive to distributable cash flow. Wells Fargo advised Energy Transfer Partners while Credit Suisse Securities advised Sunoco.
