Very often the only hurdle that gets in the way is jargon; ‘company-speak’ that formation agents, accountants and Companies House (the UK’s registrar of companies - we’re busting jargon already!) continually drop onto websites and into conversations. In this, our latest StartUp TV, we look at exactly how simple it is is to form a UK company limited by shares … don’t worry, we explain what that means too! A private company limited by shares is a very popular company structure. This is for two main reasons: Tax Benefits Limited Liability - this means, if it all goes wrong, the owners do not have to pay out of their own pockets, their liability is limited to the amount of shares they own, hence company limited by shares Unique Company Name The Company Formation MadeSimple http://www.companiesmadesimple.com/ homepage has a ‘company name availability’ search box. Simply enter your proposed company name and we’ll immediately let you know if your name is available. The company name must be unique, can not be too similar to another company and should also not contain any ‘sensitive words or expressions’. These are a collection of words that Companies House will not allow you to use without permission from a particular body. For example, you can’t use the word ‘Dental’ in a company name without permission from The General Dental Council. See here for a full list of these sensitive words and expressions. Please note, your company name must end in Limited or Ltd (you can choose which version you prefer). Company Formation Packages The next step is to select your package. We offer five different packages: Basic (£16.99 plus VAT) Printed (£29.99 plus VAT) Privacy (£49.99 plus VAT) Comprehensive (£89.99 plus VAT) Ultimate (£159.99 plus VAT) It’s worth mentioning that the above prices all include the £13 Companies House filing fee - it’s for this reason that when you add VAT to the prices, the figure appears to not quite match up. This is simply because we’re removing the £13 fee before adding the VAT. The Registered Office Now the first step in the actual company formation process is to add a registered office address. This is the official address for the company and where Companies House and Her Majesty's Revenue and Customs (HMRC) will send all company documentation. Important information about the registered office: It is on the public register (and so easy for anyone to find) It must be in the UK Directors (more on these in the next step) must be ‘contactable’ from the address - this means if mail is sent to the address, it must be forwarded on Permission from the property owner should be granted before using an address as the registered office, so whilst it’s fine to use a residential address (we point you back to the public register note), you must have permission from the landlord Directors Now you need to appoint at least one director. Directors are tasked with the running of the company. To appoint a director you need the following information: Full name Date of birth Occupation Service address - similar to the registered office, this is the official address for the director and is on the public register Residential address - this must be the actual residential address but it is not on the public register (unless you use a residential address as the service address) MadeSimple offers business products and services to start-up companies and small businesses. Each of them is designed to incentivise innovation in the UK and economic growth through a residency programme. START UP VISA The start up visa is for people looking to establish a business in the UK for the first time. You must be endorsed by an recognised body to apply. But this is broadly defined and can include appropriate incubators and universities. It is for 2 years and does not directly lead to settlement in the UK and citizenship. However, the innovator visa does, and you can switch from the start up visa to innovator visa when you have set up your business. The endorsement criteria are: Innovation The applicant has a genuine, original business plan that meets new or existing market needs and/or creates a competitive advantage. Viability The applicant has, or is actively developing, the necessary skills, knowledge, experience and market awareness to successfully run the business. Scalability There is evidence of structured planning and of potential for job creation and growth into national markets. The great thing is that you can switch to this visa from other visas while within the UK. This is true if you are: A Tier 1 (Graduate Entrepreneur) A Tier 2 (work visa) holder A Tier 4 (General) student A visitor who has been undertaking permitted activities as a prospective entrepreneur INNOVATOR VISA You can get an innovator business either by switching from the start up visa, or by applying afresh. If you switch from the start up visa, then the Home Office will look at the same business that was the subject of your start up visa. The main criteria which need to be satisfied (and confirmed by the endorsing body) are: (a) You have shown significant achievements, judged against the business plan assessed in your previous endorsement. (b) Your business is registered with Companies House and you are listed as a director or member of that business. (c) Your business is active and trading. (d) Your business appears to be sustainable for at least the following 12 months, based on its assets and expected income, weighed against its current and planned expenses. (e) You have demonstrated an active key role in the day-to-day management and development of your business. (f) You will spend your entire working time in the UK on continuing to develop business ventures. If you apply for the innovator visa afresh, without going through the startup pathway, then: You need to have at least £50,000 available to invest. These can be: your own funds; funds from a 3rd party; or funds that have already been invested into the business. You can apply as a team, but you need £50,000 per person.

Start up visas For start up visas, it can be either a UK university or an organisation like an incubator or accelerator. Universities This means a UK higher education institution which is: funded by the Higher Education Funding Council for England (or their regional equivalents for Scotland, Wales and Northern Ireland) and “the institution has established processes for identifying, nurturing and developing entrepreneurs among the undergraduate and postgraduate population” (the reference is W5.3) I am liaising with universities regarding their applications for endorsing body status. So if you would like to get in touch with me, please do. Accelerators and incubators This means an organisation which: “has a proven track record of supporting UK entrepreneurs, including resident workers or it is a new organisation set up for this purpose by another body which has its own track record of this nature.“ has the support to be an endorsing body by a UK or devolved government department as being clearly linked to the department’s policy objectives. Again, I am liaising with accelerators regarding their applications for endorsing body status. You can contact me to find out which may be the best match for you. Innovator visas For innovator visas, the endorsing body has got to: Have a track record (as above); and have the support of a government department (as above). So there is no mention of universities, but the effect of the rules currently is as follows. If you start with a university as your endorsing body, and you then switch from the start up visa to the incubator visa (to put you on a pathway to settlement), the the university will be able to endorse you again. This is subject to the university itself having the support of the government body (not a requirement for the start up route, but it is for the innovator route).

So many people don't believe they can buy a house for no money, and this is the biggest obstacle for them. People have been buying businesses for years, using different types of agreements. So you can either not believe me, or you can take this information and use it to buy and invest in property in the UK. 1:15 The first way is Lease Option Agreement. This means you buy a property today but pay for it later. This means you can have a free loan to invest in the property in the UK for anywhere up to 5 years. And the beauty is that at the end of that 5 years, you don't have to buy the property. 2:15 The 2nd way is Property Investment Joint Ventures. This is where 2 people come together, each bringing 50% of value each and they do a joint venture together in the deal. When you're doing a Joint Venture, you both have to bring 50:50 Value, but you don't have to bring 50:50 Money! (Make sure to watch more here to see what you can bring to the deal beside cash) 3:45 You can't be successful in property investing with no money, no time, no creativity, no implementation, etc. You have to bring something to the table, especially in Joint Venture property investments. 4:00 The 3rd way is by using other people's money. If you know how to buy a property in the UK and get a 20% return on investment (ROI) and you know someone who has £100,000 sat in the bank doing nothing, this is the perfect opportunity for you to leverage that and invest in properties when you get a great return on investment like that. You give them a fixed return on their money, and you keep the rest for yourself. (Make sure to watch this section on the different places you can get money if you don't know someone who has money you can use) 5:25 the 4th way of buying a property is by buying the property, adding value to that property and then refinancing the property. You don't need much money to start with, as you can get a bridging loan. Some of my students are doing this very method right now to buy properties in the UK and are having great success with it. They're getting a bridging loan with strategies I give them, add value to the property, and then refinance with a different lender and pay off all the debt and they've got a property that they've put no money down for. Today I’m going to talk about opening a business bank account for non-UK directors of a UK limited company. There are many reasons why someone from a different country would like to open a UK limited company, maybe to sell their goods and service into the UK, possibly as here in the UK we are seen by some as a tax efficient location or more possibly as dealing with a UK limited company is considered far more prestigious than others. For what ever reason registering a limited company here in the UK is very easy and can generally be done quite cheaply online or by using one of the many company formation agents, however opening a business bank account for that business can be considerably harder. The vast majority of business account providers here will insist the directors and ultimate business owners or shareholders are UK residents, which makes it almost impossible for a non-UK resident to get any sort of banking facilities. Why might you need a UK business account for your limited company? Well certainly if you have any dealings with HMRC, who operates our taxing system, you will have to have a UK business account otherwise any potential tax rebate will not be repaid, plus if you are dealing with UK companies, they will often insist they pay an account based here in the UK to avoid costly International transactions, plus if you are using a UK registered business to offer a far better impression to your clients, you will not then want to give them an account outside of the UK to make any payments, as that will shatter the illusion of your prestigious business. So how can we help you open a UK business account for non UK residents? If your business is sizable enough to employ a large stuff, you may want to hire a supervisor to handle some of these duties. Successful applicants will be granted 2 years’ leave (doubled from 1 year) and will be able to progress into the Innovator category to continue developing their businesses in the UK after that time.’’ This route is for those that want to start a business in the UK for the first time. There is no need for the applicant to hold a certain degree or qualification or have secured any initial funding. What must the applicant provide? To apply under this category, the applicant must show, in a business plan, that their business idea is: Innovative. The applicant has a genuine, original business plan that meets new or existing market needs and/or creates a competitive advantage. Viable. The applicant has the necessary skills, knowledge, experience and market awareness to successfully run the business. Scalable. There is evidence of structured planning and of potential for job creation and growth into national and international markets. How is this Start-Up visa assessed? The applicant’s business idea needs to be endorsed by a UK trusted body such as business accelerators, seed competitions and government agencies, as well as higher education providers. The endorsed body will assess the business idea for innovation, viability and scalability. If satisfied, the endorsed body will issue an endorsement letter, which must be used within three months of submitting your application. What else does the applicant need to prove? The applicant needs to be over 18 to apply under this category. The applicant must pass B2 level of English language ability. Alternatively, this rule is met if the applicant: • is from a majority speaking English country. • have a degree that was taught in English. • met the requirement in a previous successful application. This level of English is set so that the applicant can ‘have the good command of English they will need to interact with a variety of business organisations and potential customers.’ The applicant also needs to satisfy the credibility assessment. The applicant must have at least £945 in their account consecutively for 90 days unless the endorsing body confirms that funding has been awarded at least £945 to meet the maintenance requirement. Finally, the applicant must not be in breach of any immigration laws and or fall for refusal under the general grounds. The applicant can include family members. What are the restrictions on the applicant once the application is approved? Once the application is successful, the applicant will be subject to the following conditions: •no employment as a doctor or dentist in training. •no employment as a professional sportsperson (including as a sports coach). •no recourse to public funds. •if applicable, register with the police. • the applicant can study, subject to certain conditions. Future steps Once the Start-Up Migrant visa is granted, the applicant will need to keep in touch with their endorsing body after 6 and 12 months. The endorsing body must satisfy themselves that the applicant is progressing with their business or are pursuing a new business idea which is also innovative, viable and scalable. If the endorsing body is not satisfied with the progress, they can withdraw their endorsement, which means that the applicant’s Start-Up Migrant visa is curtailed. The maximum leave that is granted under the Start-Up visa is two years. Before the expiry of this leave, the applicant is expected to move to the Innovator Visa. One of the questions we get asked most frequently is which structure is best for my business. Explaining in the first video the benefits for a sole trader. In this one I'm going to talk more about the limited company and its benefits. Now when we start talking about limited companies many people think about grand PLCs and boardrooms and annual general meetings and perhaps getting a share of the profits once or twice a year in the form of a dividend. Most limited companies don't operate like that. They are small in structure, they are small in ownership and there as a vehicle to provide protection and income benefit to people who own them. In tax terms as soon as you start making profits above £7500 a year you are actually better off as a limited company than as a sole trader. That's because the sole trader is paying tax at a rate of 29% - 20% tax plus an additional 9% in what's known as Class 4 National Insurance, which is just tax -- you don't get a bigger hospital, you don't get to the front of the queue, you don't get a bigger pension -- its just tax. A company pays tax at 20% that's a 9% saving. Have a chat with your bank manager and see if you will get 9% return on investment from that, then give me a call because I'll put some money in as well. So 9% tax saving is quite significant but a company requires more administration. Its more costly to operate so there has to be enough benefit for the company owner to make it worth while. We say if you are making more than £15,000 a year in profit. So that's your sales and then all your expenses taken off, then you should take a look at it. At that level there is enough benefit to outweigh some of the disadvantages of the structure and cost. As an owner you get a share of the profits. That comes in what's known as a dividend. Now you can have those dividends as frequently as you want. Some people think you can only have them once or twice a year. You can have 365 dividends in a year if you really wanted to and if your business allowed it, and of course if you put the necessary paperwork together. The other big advantage of the limited company is protection. I don't want to lose my house if the business goes wrong and I'm sure neither do you. Limited company's, if you run correctly gives protection against your personal possessions becoming part of any carve up situation that might happen. So that's the limited company. If you are making profits it's a good idea. If you are not, have a think about the Sole Trader. In the next video I'm going to talk about VAT.
