However, there are numbers of limitations : To over come limitations, businessmen may convert his business into Partnership. Operational Flexibility: Further, it offers a flexible way to operate business compared to a company. The partners do not need to deal with compliance formalities. However, they need to follow the LLP Agreement executed by them. Lower Compliance Level: A key benefit of registering an LLP over a private company is lower compliance requirement. It doesn’t have a mandatory audit requirement until a certain level of turnover or contribution. Also, compliance related to the board meeting, members meetings, etc. do not apply to LLPs. Eligible for Startup India Recognition: LLP is one of the entities that are eligible for registration under StartUp India Scheme of DIPP. 3. Disadvantages of Private Limited Company: The LLP structure offers operational flexibility and many other advantages. However, you should also note that the maintenance and compliance cost is higher when compared to a general partnership. Further, unlike a company, there is no equity ownership. So it becomes difficult to attract angel investors and VCs for funding. 4. Capital Required to Start a Limited Liability Partnership Good news is there is no minimum requirement provided by law. However, it requires every partner to invest a nominal amount as agreed mutually. The partners must address the need of initial capital for business. A lot of businesses start with the partners’ assets that they carry into the business or with minimal cash that is required for initial transactions. The capital amount agreed is incorporated in the LLP Agreement. Additionally, it decides the Stamp duty amount payable to concerned State Government. The rates of Stamp duty are different in every State. A master limited partnership (MLP) is a limited partnership that is publicly traded on a securities exchange. It combines the tax benefits of a limited partnership with the liquidity of publicly traded securities. MLPs are limited by United States federal law to only apply to enterprises that engage in certain businesses, mostly pertaining to the use of natural resources, such as petroleum and natural gas extraction and transportation. To qualify for MLP status, a partnership must generate at least 90 percent of its income from what the Internal Revenue Service (IRS) deems "qualifying" sources. News Update: Duke Realty Limited Partnership Started Two Cash Tender Offers To Buy Outstanding Debt
3/24/2010- Duke Realty Limited Partnership, an operating partnership of Duke Realty Corp. (NYSE:DRE), has started two cash tender offers to buy some of its outstanding debt. The partnership is offering to buy 6.95% senior notes due in 2011 and 5.625% senior notes due 2011 and 6.25% senior notes due in 2013. The offer for the 6.95% senior notes is set to expire on March 31 and the offer for the remaining notes is set to expire on April 20.
