How to Form a UK Company
Brought to you by: http://www.madesimplegroup.com/. Mathew looks at how to start a business online at http://www.companiesmadesimple.com/. Script: Starting a UK limited company is simple. Very often the only hurdle that gets in the way is jargon; ‘company-speak’ that formation agents, accountants and Companies House (the UK’s registrar of companies - we’re busting jargon already!) continually drop onto websites and into conversations. In this, our latest StartUp TV, we look at exactly how simple it is is to form a UK company limited by shares … don’t worry, we explain what that means too! A private company limited by shares is a very popular company structure. This is for two main reasons: Tax Benefits Limited Liability - this means, if it all goes wrong, the owners do not have to pay out of their own pockets, their liability is limited to the amount of shares they own, hence company limited by shares Unique Company Name The Company Formation MadeSimple http://www.companiesmadesimple.com/ homepage has a ‘company name availability’ search box. Simply enter your proposed company name and we’ll immediately let you know if your name is available. The company name must be unique, can not be too similar to another company and should also not contain any ‘sensitive words or expressions’. These are a collection of words that Companies House will not allow you to use without permission from a particular body. For example, you can’t use the word ‘Dental’ in a company name without permission from The General Dental Council. See here for a full list of these sensitive words and expressions. Please note, your company name must end in Limited or Ltd (you can choose which version you prefer). Company Formation Packages The next step is to select your package. We offer five different packages: Basic (£16.99 plus VAT) Printed (£29.99 plus VAT) Privacy (£49.99 plus VAT) Comprehensive (£89.99 plus VAT) Ultimate (£159.99 plus VAT) It’s worth mentioning that the above prices all include the £13 Companies House filing fee - it’s for this reason that when you add VAT to the prices, the figure appears to not quite match up. This is simply because we’re removing the £13 fee before adding the VAT. The Registered Office Now the first step in the actual company formation process is to add a registered office address. This is the official address for the company and where Companies House and Her Majesty's Revenue and Customs (HMRC) will send all company documentation. Important information about the registered office: It is on the public register (and so easy for anyone to find) It must be in the UK Directors (more on these in the next step) must be ‘contactable’ from the address - this means if mail is sent to the address, it must be forwarded on Permission from the property owner should be granted before using an address as the registered office, so whilst it’s fine to use a residential address (we point you back to the public register note), you must have permission from the landlord Directors Now you need to appoint at least one director. Directors are tasked with the running of the company. To appoint a director you need the following information: Full name Date of birth Occupation Service address - similar to the registered office, this is the official address for the director and is on the public register Residential address - this must be the actual residential address but it is not on the public register (unless you use a residential address as the service address) MadeSimple offers business products and services to start-up companies and small businesses. Founded in the United Kingdom in 2002, we now run more than 8 websites. Our services include Company Formation, Virtual Offices, Mail Forwarding, Business Training and Company Credit Reports. Welcome to the startup jungle | The Economist
Most new companies fail. What does it take for young entrepreneurs around the world to thrive in a startup hub? Click here to subscribe to The Economist on YouTube: http://econ.st/2A1ieeK Over the past two decades start-ups have changed the world. Multi-billion dollar companies like Google, Facebook, and Uber have shown the transformative power of entrepreneurship. Today, innovators dream of their idea becoming the next big thing. But the odds are stacked against them. In America alone, 80% of startups will fail. In startup hubs around the world young entrepreneurs are desperate to prove they have what it takes to succeed. But what does it really take to survive? HoloMe is one of half a million companies to start up in Britain every year. The nations capital is a leading hub of innovation, inspiration, and creative energy. In London, and in cities world wide it's the age of the entrepreneur. Startups are championed by governments who see them as key to building a dynamic economy, but the competition is cut-throat. To succeed, you've got to really believe in your product. The rise of the smartphone has brought a wave of global startup successes and inspired endless possibilities for new products. With the proliferation of digital technology and digital services, it's become easier than ever to set up a business and to gamble everything on having the next big idea. In the first six months of 2017, Venture Capitalists pumped more than £1.1bn into London's tech sector. But only two companies in every 1000 manage to get their hands on those funds. In fast moving startup hubs, adaptability is crucial for any would-be entrepreneur. How to Start a Business
We’re often encouraged to think that the secret to starting is a business is to have a bold and entirely original idea. But the suggestion here is that all we really need is to LOVE something a little more than most other people do: that will be enough to help us stand out from the competition. How to Calculate Start-Up Costs | Restaurant Business
Watch more How to Get into the Restaurant Business videos: http://www.howcast.com/videos/506560-How-to-Calculate-StartUp-Costs-Restaurant-Business Let's talk about calculating the start-up costs of your restaurant. This is a place where you can not be too detailed. Everything is important. Even the box of pencils that you buy to do your staff training. Every little detailed cost will come into play, because unfortunately you won't get revenue until you open, and you're going to need to pay for all of those things without any income to offset them. And also, in the beginning of the life of a restaurant, it's rarely as busy as you want it to be, or as it will become. One of the most significant start-up costs will be construction. Now if you're taking over an existing restaurant, your construction costs might not be too great. But if you're starting with a raw space, the engineering, the ventilation, the plumbing, all will add an extraordinary amount to your construction costs. And unfortunately, it's usually more than you want it to be. Additionally, you're going to need to have staff in place and on payroll in advance of your actual opening. You probably will want to hire your senior staff earliest, then your managers, and then your hourly staff later and closer to the opening. But everybody need to have time to be trained in their position and in the space before you open, or opening night could be a disaster and you could create a very bad first impression. Additionally, there are all the other costs that are involved in equipping a restaurant. Kitchen equipment, refrigeration, stoves, mixers, small utensils. And then all of the equipment that's needed in the dining room. Tables, chairs, glassware, plate ware, service ware, silverware, all of those cost money and need to be brought in before you open. An important thing to remember with supplying your restaurant with equipment, is you don't need it all to open. You can reorder. You may have a need for fewer pieces of equipment to get open, than you need a year or two down the road. Don't buy equipment because you think it's cool. Buy the equipment you need and do that first and grow the restaurant's equipment as the restaurant grows. So once you've done a wonderful, detailed, thorough job of estimating all of your start-up costs, it's important to remember that things are going to happen. Things are not going to go exactly the way you want, maybe your gas doesn't get turned on the day you expect it to, or you're unable to get your permits in time to open. So you need to build in a contingency. You need to build in some percentage of additional costs for your opening. Something's going to happen with construction. Something's going to happen with what's required. And you want to have some cash that you planned on for those things that happen. Unfortunately. Once you have all of your start-up costs prepared, it's important to start thinking about how they'll get paid for, when the bills will come due, and how that will dove-tail with your revenue as you start operating your restaurant, and all those start-up costs lead to that wonderful moment, when you open the doors and start feeding people and making them happy.

Innovate UK’s 5 Tips to Secure Funding for Start-Ups and Small Businesses
This is Innovate UK’s essential advice and tips on securing funding. Whether a startup, small business or SME make sure you watch the video and subscribe to our channel for more funding advice. The video outlines and explains the most important factors for a business when trying to secure investment. The tips contains actionable advice and are supported by comments from industry experts from all sides of the funding / investment spectrum. The 5 tips are as follows: 1) Explore all your start-up and SME funding options Most startups start looking for investment without considering all available funding options. There are plenty of different ways to fund your business. Give consideration to all. 2) Ask for the RIGHT amount of money This can be a tough one. Asking for the right amount of money is vital to the success of failure of your funding application. A lot of startups seek the highest amount they possibly can, this is not a wise approach. Tailor your approach to funding around your goals. Where will the investment get you? What is your desired end result? 3) Research – know your numbers and present credible figures It’s hugely important to do your research and know your numbers. If you don’t, you’ll never achieve investment. It’s also crucial to present an accurate and feasible projection. This is all about instilling trust. Can an investor trust you with their money? 4) Present an awesome business plan When it comes to pitching your business, you must make a strong first impression. Stumbling over your figures or presenting out-of-date research will discredit you. You must make your business plan awesome. 5) Plan enough time for fundraising Funding is not an overnight fix. You could have the best proposition and plan but the process will still hit delays. Make sure your business has enough to survive before funding is achieved. Head over to our blog for even more in-depth analysis on securing funding: https://innovateuk.blog.gov.uk/2016/02/02/essential-business-tips-5-tips-to-secure-funding-for-start-ups-and-small-businesses/ Check out more essential tips on how to pitch for investment here: https://www.youtube.com/watch?v=fS3An...
