Very often the only hurdle that gets in the way is jargon; ‘company-speak’ that formation agents, accountants and Companies House (the UK’s registrar of companies - we’re busting jargon already!) continually drop onto websites and into conversations. In this, our latest StartUp TV, we look at exactly how simple it is is to form a UK company limited by shares … don’t worry, we explain what that means too! A private company limited by shares is a very popular company structure. This is for two main reasons: Tax Benefits Limited Liability - this means, if it all goes wrong, the owners do not have to pay out of their own pockets, their liability is limited to the amount of shares they own, hence company limited by shares Unique Company Name The Company Formation MadeSimple http://www.companiesmadesimple.com/ homepage has a ‘company name availability’ search box. Simply enter your proposed company name and we’ll immediately let you know if your name is available. The company name must be unique, can not be too similar to another company and should also not contain any ‘sensitive words or expressions’. These are a collection of words that Companies House will not allow you to use without permission from a particular body. For example, you can’t use the word ‘Dental’ in a company name without permission from The General Dental Council. See here for a full list of these sensitive words and expressions. Please note, your company name must end in Limited or Ltd (you can choose which version you prefer). Company Formation Packages The next step is to select your package. We offer five different packages: Basic (£16.99 plus VAT) Printed (£29.99 plus VAT) Privacy (£49.99 plus VAT) Comprehensive (£89.99 plus VAT) Ultimate (£159.99 plus VAT) It’s worth mentioning that the above prices all include the £13 Companies House filing fee - it’s for this reason that when you add VAT to the prices, the figure appears to not quite match up. This is simply because we’re removing the £13 fee before adding the VAT. The Registered Office Now the first step in the actual company formation process is to add a registered office address. This is the official address for the company and where Companies House and Her Majesty's Revenue and Customs (HMRC) will send all company documentation. Important information about the registered office: It is on the public register (and so easy for anyone to find) It must be in the UK Directors (more on these in the next step) must be ‘contactable’ from the address - this means if mail is sent to the address, it must be forwarded on Permission from the property owner should be granted before using an address as the registered office, so whilst it’s fine to use a residential address (we point you back to the public register note), you must have permission from the landlord Directors Now you need to appoint at least one director. Directors are tasked with the running of the company. To appoint a director you need the following information: Full name Date of birth Occupation Service address - similar to the registered office, this is the official address for the director and is on the public register Residential address - this must be the actual residential address but it is not on the public register (unless you use a residential address as the service address) MadeSimple offers business products and services to start-up companies and small businesses. Virgin StartUp Calls Out To Young Entrepreneurs in the UK
Today Virgin announces the launch of Virgin StartUp, a not-for-profit company, which will offer financial support, mentoring and business advice to thousands of young entrepreneurs across the UK. Working with The Start-Up Loans Company (SULC) as a delivery partner, Virgin StartUp will provide loans to entrepreneurs between the ages of 18-30 across the UK. At its East London launch in BoxPark, Shoreditch, Sir Richard Branson was joined by James Caan, Chairman of SULC, Sir Tom Shebbeare, Chairman of Virgin StartUp, Kevin Horne, Chairman of the Cavendish Consortium and Richard Reed, Co-Founder of Innocent Drinks and a key supporter of the scheme. Virgin will invest in a central team to manage the new company. It will draw on resources from Virgin to help promote the scheme. The new initiative is collaboration between Virgin, the Cavendish Consortium (made up of six of the largest enterprise agencies across England) and the National Enterprise Network. In addition, Virgin StartUp has the support of Virgin's UK companies including: Virgin Trains, Virgin Money, Virgin Media, Virgin Atlantic, Virgin Active, Virgin Care and its not-for-profit foundation Virgin Unite. These companies will provide access to staff mentors, marketing and media support, business advice, as well as space to host networking and promotional events. Mei Shui, formerly Head of Enterprise at The Prince's Trust, then Executive Director at The Start Up Loans Company, heads the Virgin StartUp team and will administer, manage and market the Virgin StartUp company to bring in additional loans to the programme. Sir Tom Shebbeare, former Chief Executive of The Prince's Trust and now Chairman of Virgin Money Giving and Spring Films will chair the new Company providing strategic guidance on the range and scope of the assistance to young entrepreneurs. Virgin StartUp also plans to develop a widespread mentoring programme and a series of regional events to promote new businesses and showcase established entrepreneurial expertise. Virgin StartUp follows the successful pilot programme in the North East involving Virgin Money. This initiative, launched in October 2012, is a consortium between Virgin Money, Virgin Unite, The Northern Rock Foundation and Project North East to deliver start-up loans. If you ask 100 people that question, you are going to get 100 different answers. How to Calculate Start-Up Costs | Restaurant Business

This is a place where you can not be too detailed. Everything is important. Even the box of pencils that you buy to do your staff training. Every little detailed cost will come into play, because unfortunately you won't get revenue until you open, and you're going to need to pay for all of those things without any income to offset them. And also, in the beginning of the life of a restaurant, it's rarely as busy as you want it to be, or as it will become. One of the most significant start-up costs will be construction. Now if you're taking over an existing restaurant, your construction costs might not be too great. But if you're starting with a raw space, the engineering, the ventilation, the plumbing, all will add an extraordinary amount to your construction costs. And unfortunately, it's usually more than you want it to be. Additionally, you're going to need to have staff in place and on payroll in advance of your actual opening. You probably will want to hire your senior staff earliest, then your managers, and then your hourly staff later and closer to the opening. But everybody need to have time to be trained in their position and in the space before you open, or opening night could be a disaster and you could create a very bad first impression. Additionally, there are all the other costs that are involved in equipping a restaurant. Kitchen equipment, refrigeration, stoves, mixers, small utensils. And then all of the equipment that's needed in the dining room. Tables, chairs, glassware, plate ware, service ware, silverware, all of those cost money and need to be brought in before you open. An important thing to remember with supplying your restaurant with equipment, is you don't need it all to open. You can reorder. You may have a need for fewer pieces of equipment to get open, than you need a year or two down the road. Don't buy equipment because you think it's cool. Buy the equipment you need and do that first and grow the restaurant's equipment as the restaurant grows. So once you've done a wonderful, detailed, thorough job of estimating all of your start-up costs, it's important to remember that things are going to happen. Things are not going to go exactly the way you want, maybe your gas doesn't get turned on the day you expect it to, or you're unable to get your permits in time to open. So you need to build in a contingency. You need to build in some percentage of additional costs for your opening. Something's going to happen with construction. Something's going to happen with what's required. And you want to have some cash that you planned on for those things that happen. Unfortunately. Once you have all of your start-up costs prepared, it's important to start thinking about how they'll get paid for, when the bills will come due, and how that will dove-tail with your revenue as you start operating your restaurant, and all those start-up costs lead to that wonderful moment, when you open the doors and start feeding people and making them happy.

Imran, found his training "absolutely wonderful" and credited Jan with being an excellent teacher, and armed him with all the skills he needs to go back to London and set up his own Fruity Bouquets business.
