This video explains how it functions and who can be the trustee of the escrow account. Let's look briefly at an escrow account and how it functions in the purchase and sale of real estate in Czech Republic. The reason it exists is because of the needs of both the buyer and the seller. The seller wants to be sure that he will get the purchase price for his property when he transfers ownership to the buyer. The buyer, on the other hand, wants to be sure that the property will really be transferred to him when he pays the purchase money. Because of this it is common to use and it's recommended to use an escrow account which is administered by an independent party. A three-part agreement is concluded between the buyer, the seller, and the independent third party. Let's look at an example of how this works. The buyer and the seller agree on a purchase price for the property. They conclude a three-part agreement with the trustee regarding the escrow account. The buyer sends the purchase price for the property to the escrow account. The escrow account administrator then informs both parties that the agreed amount of money is on his account. They, at this point, conclude a purchase contract and register it to the land registry. After it's evident that the buyer is the new owner of the property, the trustee releases the purchase price to the seller. This can be done a little bit different order but this is the basics of it. It's very important in Czech Republic to make sure that the seller pays the 3% transfer tax so this is often withheld by the trustee until there's evidence that the seller pays it because otherwise it becomes the obligation of the buyer to pay this. Who can work as a trustee? First of all it can be a public notary, it can be a bank, it can be a solicitor, or really it can be any one who works as an independent third party. Generally speaking, the notary charges the most but his exact fees are determined by Czech law. Banks charge less than the notary, their fees are typically around 0.2% of the deposited amount with a minimum fee of $4000 to $9000. With a solicitor you can usually negotiate the price of the escrow. Sometimes real estate companies offer to act as escrow agent; you'd have to be really careful in this case because they're not governed by law and it would be very hard to recover your money in case it was taken. So I hope this explains the basic use of an escrow in Czech Republic.

This is Part 3 of a 3 part series. In part 3, this one, we're going to discuss if you have a renter in your property and as well if you own your property through an SRO, which is very common in Czech Republic, for those who bought a pre 2008 -- 2009. Now this is amazing, with regard to a direct lease contract that the laws in Czech Republic are so strict regarding the owner's obligations to a tenant. And this is the contract I believe all property management companies use and real estate agents. I haven't found another company that uses a system like ours. Under this direct lease contract you are obligated to offer your property first for sale to the tenant. They have a full 6 months to decide. You can't get them to sign a waiver, putting away this right of theirs if you sell it before the full 6 months, it can be challenged in court and the whole sale can fall through. So this is a big one that is a negative factor with the direct lease contract. As well your access to your apartment, even to show to potential for potential buyers can be limited. If it's not in the contract, the tenant can say, "no you're not allowed to access the apartment for viewings". As well, after you've signed the purchase contract to sell it, or if the new owner takes it over with the tenant already in it, the tenant could refuse to move out, and it can take a full 2 years to remove them through the Czech court system. So, because of these reasons, most buyers will not purchase a property that has a tenant already in it. Because of this the real estate agents will tell you first to wait until your tenant is out, and then try to sell your property. But we know when this happens, that if for some reason, your property sits a long time on the market, which it shouldn't if you used the tips from the first parts of our video, but if it would, you would have your everyday expenses, for example your mortgage, and your association fees, and you wouldn't have a tenant in there paying the rent. So it's a situation where you can really lose a lot of money. Because of this, we've devised a contract system that doesn't fall under this civil law that governs the direct rent contract between an owner and a tenant. And it's a sub-lease contract. So the actual tenant that's living in the apartment lives there based off a sub-lease contract. So if you find a buyer for your property, you can give the tenant notice that they are to be out of there in 3 months. Now many, as I've mentioned, purchased before it was possible for individuals to directly own a property who are not Czech citizens. Many of these bought through a Czech company or an SRO. Now this brings up some special concerns. It is possible when selling your property to transfer the shares of your SRO to your buyer. In this case, the SRO remains the owner of the property in the Land Registry. And so it doesn't trigger the 3% real estate transfer tax that the seller typically has to pay when the ownership changes on a property. So this is a good thing and potentially you can get a little bit more from the property price than you could if you sold it underneath. However the problem lies that the buyer of an SRO inherits any liabilities from before. Even if you have a contract that says that they don't inherit, they would legally have to come after you. And in Czech courts it's a long process. So because of this, it is really rare to find a buyer who is interested in buying the shares of your company that owns the property. It's not very common. As well as there as some big tax considerations of owning a property through an SRO versus individually. There is a way however that you can dissolve the company and move all the assets into your own personal ownership. And in this process not trigger the 3% real estate transfer tax and not have to pay the corporate tax on net profit which is 19% in this process of moving it to personal ownership. However you must be aware that in order to qualify for this SRO dissolving into personal ownership the SRO must be more than 90% owned by one individual. This transfer process can be quite lengthy; it can be 6 months or even more. And it is quite expensive. But for sure if you have 300,000, 500,000 or more in capital gains in your property it's definitely worth looking at doing this, because it can really be an advantage to you in the long run.
