I've been a general dentist for 37 years, and a hard money lender for the past 12 years. This year, I became a licensed lender here in FL and my customers are house flippers and real estate investors. My 3 year plan is to slowly phase out of my dental practice while I conservatively grow my lending business (currently I have $1.2M out in loans) to $4M in loans outstanding. These are all short term, high interest rate first-mortgages on single family homes. My question for you involves exactly how to grow my business. Oh, I could do it all myself, but that won't leave me much time for my other passions: Ody, exotic travel, and photography. I struggle with the sequence of steps needed to grow, along with an innate inclination to do too much myself and delegate too little. So, what is a typical sequence? Marketing? Building a recognizable Brand? Hire an employee? Buy computers and set up an office? Currently, we operate out of my existing office space in my dental building, use a part-time bookkeeper, and am hiring a marketer to set up automated workflow. I think I'm on the right path, but I have trouble visualizing the end result-- a company that can function without me doing everything. Reasons for Mergers and Acquisitions
Reasons for mergers and acquisitions. While the primary motive for mergers and acquisitions could be to reach highest growth rate or diversification, the following reasons also play critical role. - Synergy: Synergy refers to the difference between the value of the resulting entity formed by the merger of two firms and the sum of the individual values of the merging firms. Synergy accrues 💡 as revenue increase and cost savings. In other-words V(AB) more than V(A) + V(B) where V(AB) = Value of the big entity formed by merging entity A and entity B. V(A) = Value of the entity A taken alone. V(B) = Value of the entity B taken alone. Thus when the combined value of the merged entity is more than the individual values of the business entities A and B before merger, then only it can be said that the merger is benefiting through the synergies. Synergy can take place in the following forms. Operating synergy: This is the cost savings that resulted from the economies of scale or increased sales and profits. It results in overall development of the firm. Financial Synergy: This due to financial factors like - Lower tax - Higher debt capacity - Better use of surplus cash When a firm is running in loss 📉 or it has un-absorbed depreciation, it can benefit by merging into a profitable firm 📈. The merger can overcome the losses through its profits. This results in a financial synergy known as tax shield 🛡. - Acquiring new Technology: It is essential for the business to acquire new technology to remain competitive in the market. Rather than developing this technology on their own, right from the scratch, it is easier for the businesses to acquire a business that already has a competitive technology. For instance, a video game manufacturing company acquiring another company which has developed advanced virtual reality technology so that it can integrate the virtual reality into their gaming. - Improved Profitability: Companies are always looking for options to improve their profitability. When the research findings reveal that the growth is possible through mergers or acquisitions, companies will implement this. - Acquiring a Competency: One way of acquiring a competency is through mergers or acquisitions. When companies want to build a competency that they do not have they will look for the companies that have this competency and either merge or acquire them. - New market entry: Entering into a market is a difficult situation due to the prevailing competition in the market. Merger is an easy way for companies to enter into the market. In this companies merge other companies which already have their presence in a give market. - Access to Funds: When a company has difficulty to acquire funds for growth, it will merger with another company that is rich in funds. That way the funds are best utilized and help in the growth of the company. - Tax Benefits: This occurs between two companies one of which have a high tax liability and the other one which is running in losses. When the company with high tax liability merges with the company that is running in losses. As the high profits of one company are used to set off the losses incurred by another company, the taxable profit is reduced and hence it need to pay less taxes.
