Reliance Power enters Indian Capital Markets as Bombay Stock Exchange hosts Reliance Power's IPO listing ceremony. Established in 1875, BSE (formerly known as Bombay Stock Exchange Ltd.), is Asia's first & fastest Stock Exchange with the speed of 200 micro seconds and one of India's leading exchange groups. Over the past 140 years, BSE has facilitated the growth of the Indian corporate sector by providing it an efficient capital-raising platform. Popularly known as BSE, the bourse was established as "The Native Share & Stock Brokers' Association" in 1875. BSE is a corporatized and demutualised entity, with a broad shareholder-base which includes two leading global exchanges, Deutsche Bourse and Singapore Exchange as strategic partners. BSE provides an efficient and transparent market for trading in equity, debt instruments, derivatives, mutual funds. It also has a platform for trading in equities of small-and-medium enterprises (SME). More than 5500 companies are listed on BSE making it world's No. 1 exchange in terms of listed members. The companies listed on BSE command a total market capitalization of USD 1.68 Trillion as of March 2015. It is also one of the world's leading exchanges (5th largest in March 2015) for Index options trading (Source: World Federation of Exchanges). The Board of Reliance Power approved a proposal for issuing bonus shares to all categories of shareholders, excluding the promoter group (comprising the Reliance Energy Limited and the Anil Dhirubhai Ambani Group), in the ratio of 3 shares for every 5 shares held. This announcement came in a short span of time (just 10 trading days) since the company was listed on the stock exchanges on February 11, 2008, which saw a steep fall in its share price by 11 to 15 per cent compared to its initial offer price. The offer will reduce the cost of Reliance Power shares below its Initial Public Offer (IPO) price: Rs.269 per share for retail investors, 40 per cent lower than the IPO price of Rs.430; and Rs.281 per share for other investors, 37 per cent lower than the IPO price of Rs. 450. In a related development, Anil D. Ambani, Chairman, Reliance ADA Group, announced a voluntary contribution of 2.6 per cent of his shareholding in Reliance Power to the Reliance Energy Limited to protect the company from any dilution of its existing 45 per cent stake in Reliance Power, as a result of the bonus proposal. Reliance Energy’s stake will be maintained at 45 per cent. In the revised shareholding pattern, Mr. Ambani’s holding in Reliance Power gets reduced from 45 to 40 per cent, Reliance Energy’s holding maintained at the same level of 45 per cent and the shareholding of the public has increased from 10 to 15 per cent. The reduction of Mr. Ambani’s shareholding represents a contribution of nearly Rs. 5,000 crore by him in favour of nearly 6 million investors in Reliance Energy and Reliance Power. Based on the proposal for issuance of bonus shares, the paid-up capital of the company will stand increased to 239.7 crore equity shares of Rs.10 each. Reliance Power Limited is the flagship company of the Reliance ADA Group to develop, construct and operate power generation projects. The company is currently developing 12 power projects with a combined planned installed capacity of 28,000 MW, one of the largest portfolios of power generation assets under developments. The two biggest stock exchanges in the world, in terms of total market capitalization value of the shares listed, are the New York Stock Exchange (NYSE) and the NASDAQ. The stock exchanges compete among themselves by appealing to different business niches. Each stock exchange has its own unique specialties, technologies, advantages, and, of course, disadvantages. If you’re looking for an introduction to day trading in the US, here’s your basic guide. Meet the New York Stock Exchange The New York Stock Exchange (NYSE) is located on the corner of Wall and Broad streets. It is the largest stock exchange in the world, based on the market value of the companies traded on it, and therefore the highest number of day traders participate on this exchange. The market value, known as market capitalization or “market cap,” multiplies the number of publicly held shares of stock by the exchange-traded price of each share. The market cap of stocks traded in the NYSE exceeded $21 trillion as of June 2017. The NYSE trading list comprises more than 3,000 companies. It wasn't so long ago that NYSE market orders were handled by humans known as floor traders. In those days, the execution time of an NYSE transaction could take up to two minutes. But the unavoidable has happened to the world's largest stock exchange. The revolution started slowly. Nasdaq, the United States’ first computerized stock exchange, became the model when it began operations in 1971. It took some time, but computers have now taken over most processes at the NYSE, despite strong opposition by the day traders. Computerized day trading has provided exactly what the public wanted: greater competition, fewer commissions, greater transparency, and higher execution speed. Meet the Nasdaq The Nasdaq (formerly known as NASDAQ when it was an acronym for National Association of Securities Dealers Automated Quotations) was established in 1971 as the world's first electronic stock exchange. Unlike the NYSE, it immediately computerized all of its trade processes. From that point on, day traders no longer needed to compete over each other’s shouts on the trading floor. Everything was push-button. The result: commissions slowly dropped, the quality of service improved, competition grew, and companies of a new type issued stocks and raised trillions of dollars. Within two decades, and with the proliferation of the internet, Nasdaq was accessible in the home of every trader. For the first time, the road to private trading was opened, day trading classes were being offered as were more services for beginner day traders. We can, in fact, say that the profession of day trading as we know it was born with Nasdaq’s founding. Meet the NYSE American The NYSE American was first established in 1842 as the American Stock Exchange. The NYSE acquired this stock exchange in 2008. NYSE American is now the NYSE's market for small-cap companies. NASDAQ Capital Market Listing Requirements- Today is the first LawCast in a series discussing NASDAQ listing requirements. The NASDAQ Stock Market currently has three tiers of listed companies: (1) The NASDAQ Global Select Market, (2) The NASDAQ Global Market and (3) The NASDAQ Capital Market. Each tier has increasingly higher listing standards, with the NASDAQ Global Select Market having the highest initial listing standards and the NASDAQ Capital Markets being the entry-level tier for most micro- and small-cap issuers. This LawCast series is focused on the NASDAQ Capital Market tier. A company seeking to list securities on NASDAQ must meet minimum listing requirements, including specified financial, liquidity and corporate governance criteria. NASDAQ has broad discretion over the listing process and may deny an application, even if the technical requirements are met, if it believes such denial is necessary to protect investors and the public interest. Although not in the rules, through experience, I know that NASDAQ pays close attention to trading volume and liquidity of applicants. NASDAQ has a valid concern that either once trading volume picks up, a company’s price will adjust downward and not meet the minimum requirements, or that the company will remain illiquid, either way, the company would not be a good candidate for the national exchange. Although also not in the rules, NASDAQ considers a company’s market cap. Where a company has a very high market capitalization considering its assets, revenues and other standard metrics of valuation, NASDAQ will be weary. Again the concern is that once trading on an exchange and garnering institutional attention and analyst coverage, the company’s valuation will adjust to a more probable number, which may result in a share price below the minimum NASDAQ requirements. In that regard, once listed, a company must meet continued listing standards. In order to apply for listing on NASDAQ, a company must complete and submit to NASDAQ a listing application including specified documents and information. The application process generally takes four to six weeks. Upon submittal of the application, a NASDAQ analyst will be assigned to the file as a lead interface with the company. The company will receive an initial comment letter within two to three weeks, and the comment and review process will continue until the application is either approved or denied. Like a filing with the SEC, a well prepared NASDAQ application will result in fewer comments and a smoother, quicker process. Generally, a company’s securities counsel takes the lead and is the point person in preparing the application and communicating with NASDAQ. Also similar to an SEC review process, NASDAQ will review publicly available information about a company, including but not limited to SEC filings, a company’s website, management communications and speeches, and press releases. For the most part, the back-and-forth process does not require a formal protocol, and communications will include e-mail correspondence and phone calls. #LegalAndComplianceLLC

The Dutch East India Company, formed to build up the spice trade, operated as a colonial ruler... By 1698, a broker named John Castaing, operating out of Jonathan's Coffee House, was posting regular lists of stock and commodity prices.
