Project Update: OmiseGO (OMG) the Next Generation Financial Network and Decentralized Economy Basics OmiseGO is an Ethereum-based financial technology company offering a decentralized exchange (a blockchain) and a payments platform (a wallet). They are trying to allow people without bank account or financial institution to manage accounts and send money domestically as internationally. The company behind OmiseGo called Omise was founded in 2013 and it's a venture-backed payments company operating in SEA. Omise held ICO in June 2017 where they raised $25M Tokens and usage OmiseGO network is running on Ethereum mainnet and it supposed to be the first project to use the new Plasma.io framework which is scaling solution Projects aims for anyone to be able to conduct financial transactions such as payments, remittances, payroll deposit, B2B commerce, supply-chain finance, loyalty programs, asset management and trading, and other on-demand services, in a completely decentralized and inexpensive way. OMG token will be used to validate the network meaning holders might make gains through proof of stake. It will also be used for fees. Recent News The team is getting closer to implementing plasma solution making it the first project on Ethereum that incorporating it. This is a big deal and if successfuly done could increase the interest and value of OMG. They have recently provided more details about the OMG DEX - a decentralised exchange that will be incorporated into the OMG network and work closely with the payment aspect They have been audited by Quantstamp to ensure Plasma MVP contracts are bug free The team participated in the popular Devcon4 which took part in Prague, Czech Republic where they were providing imformation mostly about the Plasma solution Roadmap There is roadmap available but slightly out of date so the better source of information is the tracker where the progress of the different project parts is tracked. The ultimate goal of the OmiseGo is fully scalabale PoS blockchain and Dex running on Plasma. The process of implementation is divided into steps which team explains nicely in the blog post. The recent updates include: eWallet and apps on Android/ iOS Plasma updates OMG Ecosystem + Roadmap The Omise recently reached almost 100 employees but not all are working on OMG. Availability and price Listed on several major exchanges with: BitMart (21% of volume) GDAC (20%) Huobi (13%) also on DigiFinex, Binance, BitForex, Bithumb, Bittrex, Kucoin and many many more Overall volume around 33M Current price as of 7th of November is around $3.50 with OMG being ranked on 23rd place in terms of the market capitalisation and market cap of around $491M. All 140M tokens are in circulation - something very rare for any projects. This means that mcap will not increase unless the price increases. OMG has been quite dissapointing this year with price decreasing in all aspects (BTC/ETH/USD). It is by no means the worst altcoin out there but the performance was disappointing neverthenless. Interestingly if you participated in the ICO you should still make a nice profit. The ATH is 28.35 and was achieved on 8th of January. How is it doing? OmiseGo has been a rather quiet project for a while now which has been reflected in the price which has been struggling meaning the current valuation might be a good point of entry. The project is very ambitious and nicely planned while the progress does seem to move forward with a lot of development milestones being achieved and upcoming. Being the first project on Ethereum using Plasma should be a big deal for the price and on top of that no new tokens will be introduced. There is also high chance of Coinbase listing. All of these make OMG a promising investment long term if you believe that there is a need for a decentralised Paypal competition. Competition include Request and UTRUST but OMG has slightly different use cases.

This talk explores the similarities between the human brain and AI. It is a very high level abstraction of AI and how it enables us to unfold the convolutions of the mind. It convinces you that when you invest in AI, you are actually investing in yourself. Upamanyu Ghose is a 3rd year computer science and engineering student, who is an ex computer vision team member of Project Manas, the only team comprising only of undergraduate students, working to build India's first driverless car for Mahindra's million dollar rise prize challenge. He has been actively pursuing projects and research in the field of computer vision and natural language processing for the past year and is currently working on a project to enable searching through contents of a video. His prior projects include, cervical cancer detection using deep learning, tweet generator, generating stem cell lineage using image processing techniques (assisted a lab in Imperial College London). He’s also a part of a group called Teach Code for Good, which focuses on teaching underprivileged children the basics of coding in order to gear them up for the future. His future plan is to pursue research in the field of human cognition in order to understand the mind better through artificial intelligence. 'Opening Doors' Restoration Project Following a successful bid to the Heritage Lottery Fund, the Mansion House has obtained a grant of £1,198,700, plus £400,000 investment from City of York Council, to embark upon a project that will increase public access to the building and its heritage, display its collections and carry out essential restoration work. This project, called Opening Doors, will focus on four key areas: 1. Restoring the Mansion House kitchen area, to create a fully working 18th century kitchen that will help to illustrate three centuries of eating in the house and interpret and explore the lives of those who have worked there. There will also be a modern kitchen area, to ensure that the tradition of catering to civic guests and hirers of the house can continue into future years. 2. Displaying the gold and silver collection, including improved interpretation, conservation and access, which will in turn provide the means to learn more about the people behind the objects - York silversmiths, donors and patrons. 3. Developing an integrated environmental and conservation plan covering the contents and structural requirements of the Mansion House, including the installation of an effective heating system that will minimise long-term damage to the contents and fabric of the building and reduce its carbon footprint. The house will also be re-wired and a new fire alarm system installed. 4. An oral history project. collecting memories from people who have been associated with the Mansion House in a variety of roles, whether it be butlers, cleaners and cooks, or past Lord Mayors and Sheriffs. Opening Doors will literally throw open the doors of the Mansion House more often and to more diverse groups of people, including schools and adult learners, as well as improving the conservation and maintenance of the building and its collections and achieving long term financial sustainability. By increasing and enhancing public access and community involvement, improving interpretation of the history of the house and developing greater educational provision, we aim to develop the Mansion House into a leading local and regional centre for learning and discovery about civic democracy and local history.

However, if you run the numbers yourself, you’ll see that the Churn Rate, or Cancellation Rate, can’t possibly be that high because Net Additions have been 17-25% of Subscribers historically. So with a 30% cancellation rate, the company would have to replenish its subscriber base by 50% with new subscribers each year – not likely! Also, industry sources like Parks Associates point to a fairly low cancellation rate of ~9% for the company. So we choose to use a 94% renewal rate for existing subscribers and an 88% renewal rate for new subscribers (the 91% rate in the middle corresponds to the 9% cancellation rate). We go 2% higher in the Upside Case, 2% lower in the Downside Case, and 2% lower than that in the “Extreme Downside” Case. Subscriber Additions as a % of Base Subscribers will be higher than the historical numbers but decline over time. Monthly Fee increases will range between the average historical increases. Part 3: How to Put It Together in Excel + Add Scenarios Step 1: Set up the Renewal Rate Schedule for New vs. Existing Step 2: Multiply the Existing Subscribers by the Renewal Rate each year Step 3: Factor in New Additions each year as a % of Base Subscribers Step 4: Apply the New or Existing Renewal Rate each year Step 5: Sum the Total Subscribers and take the yearly average Step 6: Grow the Monthly Fees and multiply to get Total Revenue What’s Next? The Gains and Losses on property sales make Net Income fluctuate, so you look at alternative metrics, such as Funds from Operations (FFO) or EPRA Earnings, when analyzing REITs. Funds from Operations (FFO) = Net Income + RE Depreciation & Amortization + Losses / (Gains) + Impairments. Under U.S. GAAP, REITs depreciate properties and record a huge Depreciation expense on the IS; under IFRS, they revalue properties constantly and record huge Fair Value Gains and Losses instead. Also as a result of that, Book Value is important and meaningful for IFRS-based REITs but must be adjusted significantly for U.S.-based REITs. To project a REIT’s statements, you start by projecting its “same-store” (existing) properties by assuming rental growth and margins. Then, assume acquisition, development/redevelopment spending, a yield on spending, and margins there, and assume something for dispositions and the lost revenue and operating income. Add up all the property-level revenue and expenses, and then project corporate items such as Depreciation, Maintenance CapEx, and SG&A with traditional percentage approaches. Make Dividends a % of FFO, AFFO, or EPRA Earnings, and assume Debt and Equity issued based on the REIT’s Cash before financing vs. its minimum Cash balance. To value a REIT with a DCF, extend these projections, factor in all CapEx and Asset Sales, as well as Stock Issued, and project revenue, margins, D&A, CapEx, and Asset Sales through a 10-year period. Calculate and discount Terminal Value the normal way, discount and sum up the Free Cash Flows, back into the Implied Equity Value and divide by the share count (current + future shares to be issued) to get the Implied Share Price. The DDM is similar, but you use Cost of Equity instead of WACC, Equity Value-based multiples for the Terminal Value, and you discount and sum up Dividends rather than Unlevered FCF. To calculate NAV for U.S.-based REITs, project the 12-month forward Net Operating Income from properties, divide it by an appropriate Cap Rate or Yield (based on similar transactions or companies in the market), and then take the market value of the other assets and add them up. Then, adjust the Liabilities, and subtract them from the market value of Assets to determine Net Asset Value; divide by the share count to get NAV per Share and compare it to the Current Share Price. Public Comps are similar, but the screening criteria are usually Real Estate Assets, Geography, and Sub-Industry. You can use traditional metrics and multiples like EBITDA and EV / EBITDA, but you’ll also use alternative ones such as FFO, P / FFO, NAV, and P / NAV, and, for IFRS-based REITs, Book Value and P / BV. To find the data, you can use “Related Companies” on Google Finance, get the assumed growth rates for the projections from sources like Yahoo Finance, and go from there.

Because there are DIFFERENT ways to judge the success of a deal - 2 of the main ones for leveraged buyouts (LBOs), growth equity investments, and venture capital investments are the internal rate of return (IRR) and the cash-on-cash (CoC) or money-on-money (MoM) multiple. Many investment firms will care a lot about one of these, but not the other, and will try to find investments that yield a high IRR or a high multiple… but not both. The Difference: IRR factors in the time value of money - it's the effective, compounded interest rate on an investment. Whereas the multiple is simpler and ignores timing (e.g., $1000 / $100 = 10x multiple). 2. What Do Different Firms Care About? Most venture capital (VC) firms and early-stage investors want to earn a multiple of their money back - they don't care that much about IRR, because they're going to be invested for a VERY LONG time and it's not exactly liquid… and they don't care what the stock market does. VC firms must be able to cover their losses with “the winners”! If they get 2x their capital back in 1 year (100% IRR) and then lose everything on another investment in 5 years’ time (0% IRR), the first result is completely irrelevant because they've only earned back 1x their capital. Perfect Example: Harmonix, maker of Guitar Hero - got VC investment in the mid-1990's, generated $0 in revenue for 5+ years, and then in 2005 released the hit video game Guitar Hero. Sold for $175 million to Viacom in 2006! Massive multiple, but likely a pathetic IRR since it took 10+ years to get there. Later-stage investors and private equity firms care more about IRR because the multiples will never be that high in late-stage deals, and because they are benchmarked against the public markets (e.g., the S&P 500) more. If the firm's IRR can't beat the stock market, why should you invest? Most PE firms target at least a 20-25% IRR depending on the economy, deal environment, valuations, etc… less when things are bad, more in frothy times. This makes it common to do "quick flip" deals where the company is bought and then sold at a MUCH higher multiple right after - simply to get a high IRR. Real-Life Example: Thoma Bravo (mid-market tech PE firm) bought Digital Insight from Intuit for $1.025 billion, and then sold it 4 months later for $1.65 billion to NCR. VERY high IRR - 316%! But only a ~1.6x money multiple, assuming no debt / no debt repayment. http://dealbook.nytimes.com/2013/12/02/sale-to-ncr-is-a-quick-profitable-flip-for-a-private-equity-firm/ 3. How Do You Use These Metrics In Real Life? How to calculate them: see the Atlassian or J.Crew models. IRR is straightforward and uses built-in Excel functions, but for the CoC or MoM multiple, you need to sum up all positive cash flows in the period and divide by the sum of all negative cash flows in that period, and flip the sign. In the case of Atlassian, the deal is great for Accel because they earn a 15x multiple, even though the IRR is "only" 35%... they do not care AT ALL because they are targeting the multiple, not the IRR. For T. Rowe Price, the multiple of 1.9x isn't great, but they do at least get a 14% IRR which is probably what they care about more since they are late-stage investors. For the J. Crew deal, both the IRR and the multiple are very low and below what PE firms typically target, so this deal would be problematic to pursue, at least with these assumptions. 4. Key Takeaways IRR and Cash-on-Cash or Money-on-Money multiples are related, but often move in opposite directions when the time period changes. Different firms target different rates and metrics (VC/early stage - multiples, ideally over 10x or 3-5x later on; PE/late stage - IRR, ideally 20%+). Calculation: IRR is simple, use the built-in IRR or XIRR in Excel; for the multiple, sum the positive returns/cash flows, divide by the negative returns/cash flows and flip the sign. Judging deals: Focus on multiples for earlier stage deals (and if you're pitching VCs to fund your company), and focus on IRR for later stage / growth equity / PE deals.

This is a VERY common interview question: "If a company goes from 10% debt to 30% debt, does its WACC increase or decrease?" "What if the Risk-Free Rate changes? How is everything else impacted?" "What if the company is bigger / smaller?" Plus, you need to use these concepts on the job all the time when valuing companies… these "costs" represent your opportunity cost from investing in a specific company, and you use them to evaluate that company's cash flows and determine how much the company is worth to you. EX: If you can get a 10% yield by investing in other, similar companies in this market, you'd evaluate this company's cash flows against that 10% "discount rate"… …and if this company's debt, tax rate, or overall size changes, you better know how the discount rate also changes! It could easily change the company's value to you, the investor. The Most Important Concept… Everything is interrelated - in other words, more debt will impact BOTH the equity AND the debt investors! Why? Because additional leverage makes the company riskier for everyone involved. The chance of bankruptcy is higher, so the "cost" even to the equity investors increases. AND: Other variables like the Risk-Free Rate will end up impacting everything, including Cost of Equity and Cost of Debt, because both of them are tied to overall interest rates on "safe" government bonds. Tricky: Some changes only make an impact when a company actually has debt (changes to the tax rate), and you can't always predict how the value derived from a DCF will change in response to this. Changes to the DCF Analysis and the Impact on Cost of Equity, Cost of Debt, WACC, and Implied Value: Smaller Company: Cost of Debt, Equity, and WACC are all higher. Bigger Company: Cost of Debt, Equity, and WACC are all lower. * Assuming the same capital structure percentages - if the capital structure is NOT the same, this could go either way. Emerging Market: Cost of Debt, Equity, and WACC are all higher. No Debt to Some Debt: Cost of Equity and Cost of Debt are higher. WACC is lower at first, but eventually higher. Some Debt to No Debt: Cost of Equity and Cost of Debt are lower. It's impossible to say how WACC changes because it depends on where you are in the "U-shaped curve" - if you're above the debt % that minimizes WACC, WACC will decrease. Otherwise, if you're at that minimum or below it, WACC will increase. Higher Risk-Free Rate: Cost of Equity, Debt, and WACC are all higher; they're all lower with a lower Risk-Free Rate. Higher Equity Risk Premium and Higher Beta: Cost of Equity is higher, and so is WACC; Cost of Debt doesn't change in a predictable way in response to these. When these are lower, Cost of Equity and WACC are both lower. Higher Tax Rate: Cost of Equity, Debt, and WACC are all lower; they're higher when the tax rate is lower. ** Assumes the company has debt - if it does not, taxes don't make an impact because there is no tax benefit to interest paid on debt.

If a PE firm acquires over a certain percentage of a bank, it may be classified as a “bank holding company,” and it will have to comply with regulatory capital and other requirements – which no PE firm wants. Also, most banks are already highly leveraged and cannot use much additional Debt to support a deal; Debt works differently for a bank, and most banks do not aim to “de-lever” over time. If a bank’s Equity is written down and replaced with insufficient new Investor Equity, it might also run into a regulatory capital shortfall. As a result, PE firms almost always have to use a significant amount of Equity, if not 100% Equity, to invest in banks. They often make minority-stake investments, invest in something other than Common Equity, and do club deals with multiple other PE firms to get around these problems. So, “bank buyouts” are more like growth equity deals or debt investments than traditional leveraged buyouts. The main returns sources are Tangible Book Value growth, P / TBV multiple expansion, and Dividends; “Debt Paydown and Cash Generation,” a key returns source in a traditional LBO, does not exist in the same way. TBV growth depends on the bank’s ability to source Deposits and Loans and grow its Net Income over time while issuing modest Dividends. P / TBV multiple expansion depends on the bank’s ability to boost its ROTCE or ROE, boost its Net Income to Common growth, and reduce its Cost of Equity. Of those, it’s most viable for the PE firm to implement strategies to boost the bank’s Returns-based metrics such as ROTCE or ROE. It might plan to cut the bank’s costs, target higher-yielding Assets, aim for higher Asset growth, or secure lower-cost funding sources. A “Bank Buyout” Model in Steps Start by making Transaction and Operating Assumptions, such as the Purchase P / TBV Multiple, Fees, Exit Multiple, and Loan and Deposit Growth. Then, set up the Sources & Uses and PPA schedules. You still write down a bank’s Common Equity, Goodwill, and Other Intangibles, and replace them with new items in a control deal. In a growth equity deal, you would skip this part and just assume extra Cash and Equity from the minority investment. Next, adjust the Balance Sheet – items such as Cash, Gross Loans, the Allowance for Loan Losses, Goodwill/Intangibles, Deferred Taxes, and Equity will change. In a growth equity deal, only Cash and Equity change immediately after. Project the Balance Sheet and use Federal Funds Sold and Purchased as the balancers, and then use the Balance Sheet figures to project the bank’s Income Statement and Cash Flow Statement. Finally, project the bank’s Regulatory Capital. Focus on CET 1, which is close to Tangible Common Equity, and “back into” the Dividends the bank can issue based on its Targeted vs. Actual CET 1. Risk-Weighted Assets can be a percentage of Interest-Earning Assets. Calculate the MoM Multiple and IRR at the end based on the Equity Purchase Price, Exit Equity Proceeds, and Dividends, and create a summary and sensitivities for the entire model. This deal doesn’t seem great because we need 20% Exit P / TBV multiple expansion, from 2.5x to 3.0x, to get a 20% IRR, but the bank’s ROA and ROTCE fall over this 5-year period. It doesn’t seem plausible for the bank’s P / TBV to *increase* when its financial performance declines. But to evaluate it more fully, we’d have to look at different scenarios and sensitivities.

SHORT ANSWER: All else being equal, companies want the cheapest possible financing. Since Debt is almost always cheaper than Equity, Debt is almost always the answer. Debt is cheaper than Equity because interest paid on Debt is tax-deductible, and lenders' expected returns are lower than those of equity investors (shareholders). The risk and potential returns of Debt are both lower. But there are also constraints and limitations on Debt – the company might not be able to exceed a certain Debt / EBITDA, or it might have to keep its EBITDA / Interest above a certain level. So, you have to test these constraints first and see how much Debt a company can raise, or if it has to use Equity or a mix of Debt and Equity. The Step-by-Step Process Step 1: Create different operational scenarios for the company – these can be simple, such as lower revenue growth and margins in the Downside case. Step 2: "Stress test" the company and see if it can meet the required credit stats, ratios, and other requirements in the Downside cases. Step 3: If not, try alternative Debt structures (e.g., no principal repayments but higher interest rates) and see if they work. Step 4: If not, consider using Equity for some or all of the company's financing needs. Real-Life Example – Central Japan Railway The company needs to raise ¥1.6 trillion ($16 billion USD) of capital to finance a new railroad line. Option #1: Additional Equity funding (would represent 43% of its current Market Cap). Option #2: Term Loans with 10-year maturities, 5% amortization, ~4% interest, 50% cash flow sweep, and maintenance covenants. Option #3: Subordinated Notes with 10-year maturities, no amortization, ~8% interest rates, no early repayments, and only a Debt Service Coverage Ratio (DSCR) covenant. We start by evaluating the Term Loans since they're the cheapest form of financing. Even in the Base Case, it would be almost impossible for the company to comply with the minimum DSCR covenant, and it looks far worse in the Downside cases Next, we try the Subordinated Notes instead – the lack of principal repayment will make it easier for the company to comply with the DSCR. The DSCR numbers are better, but there are still issues in the Downside and Extreme Downside cases. So, we decide to try some amount of Equity as well. We start with 25% or 50% Equity, which we can simulate by setting the EBITDA multiple for Debt to 1.5x or 1.0x instead. The DSCR compliance is much better in these scenarios, but we still run into problems in Year 4. Overall, though, 50% Subordinated Notes / 50% Equity is better if we strongly believe in the Extreme Downside case; 75% / 25% is better if the normal Downside case is more plausible. Qualitative factors also support our conclusions. For example, the company has extremely high EBITDA margins, low revenue growth, and stable cash flows due to its near-monopoly in the center of Japan, so it's an ideal candidate for Debt. Also, there's limited downside risk in the next 5-10 years; population decline in Japan is more of a concern over the next several decades.
