This video discusses the composition and role of a corporation's board of directors. The board of directors is a group of people who are elected by the company's shareholders to oversee the company's executives and operations. The board of directors is responsible for hiring and firing the CEO, declaring dividends, and making decisions related to acquisitions. Boards usually consists of a mix of inside directors and outside directors. Inside directors are members of the company's executive team (e.g., the CEO), a large shareholder, or a key stakeholder (e.g., the head of the employees' union). Outside directors, otherwise known as independent directors, do not have a material interest in the company (an example of an outside director would be the CEO of a different company). The board of directors usually makes decisions with a vote, and meetings are led by a chairperson (who in some cases is the company's CEO). The board of directors will also form a number of committees, with the most common committees being the governance committee, the compensation committee, and the audit committee. Our speaker this week was Chris Kuehl, Managing Director - Armada Corporate Intelligence. His topic is "The Presidential Election Impact, 2017 Outlook and Beyond." Chris is a Managing Director of Armada Corporate Intelligence and one of the co-founders of the company in 1999. He has been Armada’s economic analyst and has worked with a wide variety of private clients and professional associations in the last ten years. He is the Chief Economist for the National Association for Credit Management and is on the Board of Advisors for their global division – Finance, Credit and International Business. He prepares NACM’s monthly Credit Managers Index. He is the Economic Analyst for the Fabricators and Manufacturers Association and writes their bi-weekly publication, Fabrinomics, which details the impact of economic trends on the manufacturer. Chris is the chief editor for the Business Intelligence Briefs, distributed all over the world by business organizations and he is one of the primary writers (with Keith Prather) for the Executive Intelligence Briefs. He also makes close to a hundred presentations each year to business and industry associations in the US and overseas. He is on the Board of the Business Information Industry Association in Hong Kong and serves as a resource for the media and for many trade publications. Video transcription: Good mornings this is Aaron again in Buenos Aires with LatinFinance with me now is Horacio Aguilar managing director at Puente one of today's sponsors Horatio thank you for your time this morning I'd like to start with corporate financing and capital markets in Argentina obviously it's no surprise that after the sovereign issued 16.5 billion dollar bond sub-sovereigns have followed I'd like to know what that means for the corporates in Argentina and what opportunities have presented them that's actually very good news what's happened you know with the sovereign for first of course and then with the sub-sovereigns the new issue by their sovereign was a huge success 16 billion was the largest EM issuance ever it was I think one of the largest books ever not only EM but global so lots of interest for Argentina right now and that was actually confirmed the last two or three weeks with actually three provinces going out to market all of them books over subscribed lots of interests so we know and we are seeing corporates getting ready to issue and the interest is there and also the type of investors is broadly the same but they have different funds also so there's a dedicated sovereign funds so the demand for corporates hasn't been satisfied yet and usually corporate trade are spread over the sovereign so for investors that are interested in Argentine grade through their corporate issuance get a spread over the sovereign so there's going to be interest with that in mind is there any chance that Argentinian corporates have been or are in danger of being crowded out by the plethora of sovereign related issuances of late given what's happened and the amount of interest we've seen for the sovereign and again confirmed by the provinces I don't think so I mean there's a lot of demand for Argentina in general then of course is going to depend on the grade conditions and on each issuer but the demand is there and again with every new issue we've seen we've seen you know books three four five times oversubscribed so there's gonna be more sub-sovereign more provincial issuances but there's specific investors that also need access to corporate grades so there's going to be demand with that in mind also I mean what's the pricing environment particularly for corporates I mean the yield have been quite tight of late for emerging market credits how do you see that transferring to potential corporate issurances well that's part of the answer of why there's been so much interest for Argentina recently what's happened is that Russian investors are seeing this change of of environment in Argentina and at the same time Argentina trading at levels if you compare the trading levels of Argentina neighbors you know Brazil Uruguay Bolivia Paraguay they all trade at levels between 4 to 6 percent Argentina the government is trading at 7 7.5 percent for 10 years so given it's on the other part of the cycle and still no room for spread compression there's a lot of interest and Argentina's also trading very well if you compare it's comparable in terms of rating Argentina has a rating of B- and if you look at other issuers with that rating there are issuers from Africa and they trade at levels of 8 9 percent Argentina rate is at 7 percent so the market is in Argentina very positive with that in mind also do you see you talked about having B- ratings in the next say this is a bit speculative but the next months what are the opportunities for upgrades for corporates and sovereign that's going to be key for that we're gonna need to see or actually the great ratings are they want to see changes and confirmation of this macro-economic stabilization things that this one has inherited from the past in terms of how inflation instability in terms of effects fiscal deficit you know if the government starts or actually continues to give good signals in those fronts and starts to solve those issues we're gonna see a consequence in ratings and that's going to be very positive for spreads in the short term which corporates do you foresee coming to the market well in terms of names we can't say specific names because we are working with with several of the issuers but we're gonna see activity on the oil and gas sector media sector there's lot of interest both from the investors and from the issuer side in terms of nfrastructure products and projects and renewable energy it's gonna take a little more time but there's there's a media sector also there's gonna be issuance from several sectors

Claudia Fan Munce has been the Managing Director of the IBM Venture Capital Group. In addition to this role, she is also Vice President of IBM Corporate Strategy. Claudia joined IBM Research Division in 1985 and held many technical and business leadership positions. Prior to assuming her current position, Claudia was responsible for IBM Research overseeing technology transfer and licensing activities as well as defining new business opportunities with top IBM partners. Born in Taiwan, Claudia grew up in Brazil and came to the U.S. for graduate studies. She holds a Master of Science in Electrical Engineering and Computer Science from Santa Clara University, and an MBA from Stanford University. Claudia is the Chairwoman of National Venture Capital Association Corporate Venture Advisory Board, a board member of the Latin America Venture Capital Association, and she also serves on advisory board of many venture firms.
